Welcome to Chief Web Services Limited! These Terms of Service (“Terms”) govern your use of our IT consulting services and our website. By accessing or using our services, you agree to be bound by these Terms. Please read them carefully.
1. Services Provided
Chief Web Services Limited offers a range of IT consulting services, which may include, but are not limited to:
- Software development and integration
- Cloud solutions and migration
- IT infrastructure management
- Technical support and maintenance
- Strategic IT planning
The specific services to be provided will be detailed in a separate agreement, proposal, or statement of work (“SOW”) between Chief Web Services Limited and the client.
2. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for the provision of services.
- Ensure timely access to your systems, data, and personnel as required for project execution.
- Appoint a dedicated point of contact for effective communication.
- Make timely payments for services rendered as per the agreed-upon terms.
- Comply with all applicable laws and regulations related to your use of our services.
3. Payment Terms
Fees for our services will be outlined in the respective SOW or agreement. Unless otherwise specified:
- Invoices are typically issued monthly.
- Payments are due within 30 days from the invoice date.
- Late payments may be subject to interest charges at a rate of 1.5% per month or the maximum permitted by law.
- Chief Web Services Limited reserves the right to suspend or terminate services for non-payment.
4. Confidentiality
Both Chief Web Services Limited and the client agree to keep all non-public information, including but not limited to, business plans, financial information, technical data, and client lists, confidential. This obligation will survive the termination of these Terms. We will implement reasonable security measures to protect your data.
5. Intellectual Property
Unless otherwise agreed upon in an SOW:
- Client Data: You retain all rights, title, and interest in and to your data.
- Our Deliverables: Chief Web Services Limited retains all intellectual property rights in any pre-existing materials or tools used to provide the services. Upon full payment for services, you will be granted a non-exclusive, perpetual, worldwide license to use any custom-developed deliverables for your internal business purposes.
- Third-Party Software: Any third-party software or licenses required for the services will be subject to their respective terms and conditions.
6. Warranties and Disclaimers
- Our Warranty: Chief Web Services Limited warrants that our services will be performed in a professional and workmanlike manner, in accordance with generally accepted industry standards.
- Disclaimer: EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, CHIEF WEB SERVICES LIMITED MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT OUR SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.
7. Limitation of Liability
To the maximum extent permitted by law, Chief Web Services Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use our services.
- Any unauthorized access to or use of our servers and/or any personal information stored therein.
- Any interruption or cessation of transmission to or from our services.
- Any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our services by any third party.
In no event shall our aggregate liability for any claims arising out of or related to these Terms or the services exceed the amount paid by you to Chief Web Services Limited for the services giving rise to the claim in the twelve (12) months preceding the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless Chief Web Services Limited, its officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with your breach of these Terms or your use of our services.
9. Termination
Either party may terminate the services or any SOW for material breach if the breach is not cured within 30 days after written notice. Either party may also terminate these Terms for convenience with 60 days’ written notice. Upon termination, you agree to pay for all services rendered up to the termination date.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Kenya. Any disputes arising out of or in connection with these Terms shall be resolved through good faith negotiations. If a resolution cannot be reached, the parties agree to exclusive jurisdiction of the courts in Nairobi, Kenya.
11. Changes to Terms
Chief Web Services Limited reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website with a revised “Effective Date.” Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.
12. Miscellaneous
- Entire Agreement: These Terms, together with any SOWs, constitute the entire agreement between you and Chief Web Services Limited.
- Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
- Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
